These Terms of Service ("Terms") govern your access to and use of Hugo's websites, applications, and related services (collectively, the "Services") offered by Hugo ApS ("Hugo," "we," "us," or "our"). By using the Services you agree to these Terms.
1. Who may use the Services
You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization and accept these Terms on its behalf.
2. Accounts and organizations
You are responsible for safeguarding credentials and for activity under your account. You must provide accurate registration information and keep it current. Workspace administrators may invite users and configure settings; their actions may affect your access to organization data.
3. Acceptable use
You agree not to:
- Violate applicable law or third-party rights.
- Attempt to probe, scan, or test the vulnerability of the Services, or breach security or authentication.
- Interfere with the Services, including by overloading, spamming, or distributing malware.
- Misuse the Services to generate or distribute unlawful, harmful, or deceptive content at scale.
- Reverse engineer the Services except where such restriction is prohibited by law.
- Use the Services to build a competing product or to train general-purpose foundation models on our outputs.
We may investigate violations and may suspend or terminate access where we reasonably believe a violation has occurred.
4. Subscriptions, fees, and taxes
Paid plans, usage limits, and payment terms are described at checkout and in your order. Unless stated otherwise, fees are billed in advance, non-cancellable for the current term, and exclusive of applicable taxes, which you are responsible for. We may change prices with reasonable notice; changes apply on renewal.
5. AI features and third-party services
The Services may include AI-generated suggestions, automations, or integrations. You are responsible for reviewing outputs before relying on them, especially in high-risk contexts. We do not warrant that AI outputs are accurate, complete, or fit for a particular purpose. The Services may rely on third-party providers (including model and infrastructure providers); their terms may apply where relevant.
6. Intellectual property
We retain all rights in the Services, our branding, and our software. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You retain rights in your data; you grant us the rights necessary to provide and improve the Services as described in our Privacy Policy.
7. Confidentiality and feedback
Neither party will disclose the other's confidential information except as permitted under law or agreement. If you choose to send feedback or suggestions, we may use them without obligation to you.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HUGO'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Indemnity
You will defend and indemnify Hugo and its affiliates, officers, and employees from third-party claims and costs arising from your use of the Services, your data, or your violation of these Terms, except to the extent caused by our willful misconduct.
11. Term and suspension
These Terms continue until terminated. We may suspend or terminate your access for material breach, risk to the Services, or non-payment. You may stop using the Services at any time. Provisions that by their nature should survive (including IP, disclaimers, limitations, and indemnity) will survive termination.
12. Governing law and disputes
These Terms are governed by the laws of Denmark, excluding conflict-of-law rules. Courts in Copenhagen, Denmark have exclusive jurisdiction, subject to mandatory rights you may have as a consumer in your country of residence.
13. Changes
We may update these Terms and will post the revised version with an updated "Last updated" date. If changes are material, we will provide additional notice as required by law. Continued use after the effective date constitutes acceptance of the updated Terms.
